The story

Global Payments is a scaled merchant acquirer that swapped its Issuer business to FIS for Worldpay, which makes it one of the two or three largest global merchant processors. Its moat comes from scale, distribution through banks and ISVs, and vertical software such as Genius POS. That moat is under pressure from Stripe, Adyen, Toast and Fiserv's Clover. The company is mature and heavily levered. The next few years are about integration, cost synergies and paying down debt, and organic growth will likely be only mid-single-digit.

Year-one growth is elevated because a full year of Worldpay is consolidated. After that, growth fades to about 4-5% organic merchant growth and then to 2.5% terminal. Margins recover from a depressed 14% TTM, which reflects deal costs, restructuring and Issuer carve-out noise, to about 27% as synergies arrive and one-offs roll off. That target sits below the ~2024 peak because acquisition amortization is heavy and competition is squeezing SMB pricing. The reported sales-to-capital of 0.23 is distorted by goodwill, so incremental reinvestment uses ~1.1, typical for processing. Beta above 1 reflects about $13.5B of net debt.
